Technical due diligence should improve an investment decision, not overwhelm it with findings. The buyer needs to understand what exists, what the product depends on, which claims are supported, where uncertainty remains, and what the likely priorities will be after the transaction.

Start with the decision being made
An early-stage investment, growth round, acquisition, lender review, and internal capital decision require different depth. We clarify the thesis, material risks, expected growth, customer obligations, access available, and time horizon before designing the work.
This prevents a standard checklist from treating every imperfection as equally important. A young product may reasonably carry known limitations; an established platform serving consequential customers may require much stronger evidence of control.

Not every review requires the same access or every category. Scope is prioritized around the decision and evidence available.
Evidence rather than presentation quality
A polished roadmap or architecture diagram can be useful, but it is not proof. We compare statements with repositories, records, environments, workflows, interviews, and operating evidence where scope permits. Contradictions are investigated rather than converted immediately into accusations.
Findings distinguish fact, inference, management representation, and unavailable evidence. That distinction helps an investor understand confidence rather than receiving an artificially precise score.
Make risk actionable
A long fault list is difficult to use. We explain why a finding matters, the consequence it may create, when it may become material, and what a reasonable response could involve. Some findings affect transaction terms or timing. Others belong in a post-close plan, leadership support, or future investment allocation.
We also identify strengths worth protecting. Due diligence should not erase the product knowledge, team practices, or pragmatic decisions that created current value.
Independence and confidentiality
The engagement establishes information boundaries, conflicts, communication, retention, and who may receive findings. We do not publish client identities or reuse sensitive evidence as marketing material. Repository or system access is arranged securely after scope and authorization are confirmed; credentials never belong in a public form.
Where access is limited, we state the limitation and avoid conclusions the evidence cannot support.
India and international transactions

What separates our diligence
Programmers' Union combines evaluation with an understanding of what implementation actually requires. We avoid both extremes: excusing every weakness as normal startup debt and judging an evolving product against an irrelevant ideal. Do you provide a pass or fail verdict?
